On August 15, 2025, the Governor signed Senate Bill 798. This bill amends Section 3 of the Health Facilities Planning Act by revising the definition of "Non-clinical service area" and by establishing new definitions for "Patient care unit" and "Provider". Senate Bill 798 took effect upon the Governor's signature and is now known as Public Act 104-0365.  HFSRB staff is revising the application forms to incorporate these changes.  Please use this web link to view the Public Act: Illinois General Assembly - Public Act 104-0365

NOTICE OF AN OPPORTUNITY FOR PUBLIC COMMENT AND REQUEST FOR PUBLIC HEARING

Following the Illinois Health Facilities Planning Act requirements, notice is hereby given of the receipt of an application for exemption for a change of ownership of The Glen Endoscopy Center, LLC, 2551 Compass Road, Suite 115, Glenview, Illinois.  The transaction is considered a stock transfer resulting in no change in the current licensee.  (#E-010-25).  The fair market value of the transaction is $4,459,000. The Applicants are Glen Endoscopy Center, LLC., Ambulatory TopCo, LLC., and Ascension Health Alliance.  The owner of the site is KAGR2 Glenview Compass II, LLC. 

Ascension Health Alliance, through its wholly owned subsidiary Project Bluegrass Holdco, LLC, entered into an Equity Purchase Agreement dated June 16, 2025, for Ascension to acquire the ownership interests in co-applicant Ambulatory TopCo LLC. The Transaction will not result in any change to the governance controlling body, location, officers, staffing, or assets or liabilities of any of Illinois’ facilities. Each of the Illinois ASTCs is currently indirectly owned in part by Ambulatory TopCo and the remainder by practicing physicians. Under the Purchase Agreement, upon satisfaction of the closing conditions. Ascension will purchase all of the issued and outstanding membership Interests of Ambulatory TopCo. Thereafter, Ascension will be an indirect, partial owner of each of the Illinois ASTCs.  

This exemption application was called substantially complete on July 31, 2025.  Written requests (no emails or faxes will be accepted) for a public hearing must be received by the Illinois Health Facilities and Services Review Board by August 15, 2025.    The Application can be viewed at the offices of the Illinois Health Facilities and Services Review Board at the address below or the State Board’s website https://hfsrb.illinois.gov/
